The Maharlika Investment Corporation (MIC) is seeking to hire an Assistant Corporate
Secretary to support its Corporate Secretary and senior leadership team in ensuring the efficient

critical role involves preparing board materials, maintaining corporate records, and adhering to
governance best practices. The ideal candidate will possess a solid understanding of corporate
law and governance, have strong organizational skills, and demonstrate the ability to manage
sensitive information with the utmost discretion.
Key Responsibilities of the Assistant Corporate Secretary
Assist in preparing and distributing board meeting agendas, materials, and minutes for
BOD meetings and committee meetings.
Ensure compliance with corporate governance policies and statutory requirements by
maintaining up-to-date corporate records, including shareholder registers, resolutions,
and meeting minutes.
Assist in managing the filing of regulatory documents and reports to the Governance
Commission for Government-Owned or -Controlled Corporations (GCG) and other
relevant regulatory bodies.
Provide administrative support to the Corporate Secretary, including scheduling
meetings, coordinating logistics, and ensuring the timely execution of documents.
Prepare and file annual reports, disclosures, and corporate governance statements in
accordance with the regulatory and legal requirements.
Monitor changes in corporate governance legislation and regulations, advising the
organization on necessary adjustments to maintain compliance.
Coordinate with internal and external stakeholders on corporate governance matters.
Handle confidential and sensitive information with integrity and professionalism.
Qualification, Skills, and Qualities MIC is Looking for in Applicants
Bachelor’s degree in Law.
At least three (3) years of experience in a corporate secretarial, legal, or governance-
related role.
Strong knowledge of corporate governance practices and regulatory requirements
covering government-owned or -controlled corporations (GOCCs).
Excellent attention to detail, organizational skills, and the ability to manage multiple tasks
with competing deadlines.
Strong written and verbal communication skills, with the ability to draft clear and precise
documents.
High level of professionalism, integrity, and discretion in handling confidential
information.
Ability to work independently as well as collaboratively in a dynamic environment.
