We are seeking for a Legal Counsel based in Philippines to join our global legal team and support our dynamic, fast-growing business.
Key Responsibilities:
In-house Legal Counsel Duties:
Provide legal advice and support to business and corporate functions in relation to a wide range of activities connected to CRIF’s commercial operations to mitigate the potential legal risks.
- Draft, review, and negotiate commercial, brokerage and partnership agreements for CRIF’s business in line with company standards and other legal documents of the company, safeguarding full compliance of business operations with applicable laws and regulations.
- Collaborate with CRIF’s cross-functional teams on internal approvals to ensure sales/purchases transactions are consistent with internal corporate policies and processes.
- Conduct training for the business teams on contractual, regulatory and compliance issues affecting the sales cycle.
- Manage disputes, including coordination with external counsel, and represent the company in legal proceedings or administrative hearings as needed.
- Provide legal support specifically for the Philippines and, as required from time to time, also for the APAC region as part of the regional legal team.
- Experience with the Philippines’ data protection legal framework is a preferential qualification
Corporate Law Duties:
- Prepare and maintain corporate records, including board resolutions, minutes of meetings, and shareholder communications.
- Support the issuance of Secretary Certificates by the Corporate Secretary for specific transactions, as required.
- Assist in the organization of board and shareholder meetings, including the preparation and distribution of notices, agendas, and meeting materials.
- Gradually assume responsibility of Corporate Secretary including issuing Secretary Certificates as part of a planned transition, ensuring alignment with corporate governance standards and legal requirements.
Qualifications:
- Juris Doctor (JD) or Bachelor of Laws (LL.B.) degree.
Admitted to the Philippine Bar, and a member in good standing of the Integrated Bar of the Philippines (IBP).
- at least 5+ years’ PQE of related legal experience in corporate law, legal advisory, and compliance, preferably with in-house counsel experience.
- Proven expertise in corporate governance, including preparing corporate resolutions, managing board meetings, and liaising with regulatory agencies (e.g., SEC).
- Solid knowledge of general commercial contracting and intellectual property law principles
- Experience working with technology or software companies, or working with clients in such industries
- Effective interpersonal skills, including the ability to communicate with cogency and empathy
- Ability to deliver high-quality work under deadlines.
- Impeccable integrity, good judgement, and well-honed analytical skills
- Organizational skills to manage multiple contemporaneous projects
- being in possession of the title of Corporate Secretary under the applicable Philippines laws/regulation, is a preferential qualification.
