Position Overview: We are seeking a dedicated and detail-oriented Legal Associate to join our legal team. This role is pivotal in providing legal support to various departments within the organization, ensuring compliance with regulations, and mitigating legal risks associated with the energy or utilities industry.

Key Responsibilities:

  • Handle corporate housekeeping matters of the organization and its subsidiaries, including but not limited to the following: Drafing of minutes of Board meetings as well as Committees meetings; Drafting and reviewing contracts; Filing of Securities and Exchange Commission and Philippines Stock Exchange reportorial requirements as well as requirements Conducting due diligence on different projects; and Drafting Shareholders Agreement, Share Purchase Agreement, and other acquisition documents for acquisition projects
  • Attend board and committee meetings to take accurate and comprehensive minutes
  • Provide support and advice to the Corporate Secretary in carrying out duties relating to the effective governance and performance of the Board and corporation, as well as information on governance best practices
  • Ensure corporate compliance and reportorial requirements of the Securities and Exchange Commission, the Board of Investments, and the Philippine Stock Exchange, such as, but not limited to General Information Sheet, Financial Statements, Annual Certification as to the Attendance of Directors in Board Meetings
  • Consult and handle corporate legal processes
  • Assist in developing company policy and position on legal issues
  • Coordinate with external counsels on legal consultancy transactions of the organization and it subsidiaries, including but not limited to the following: 1) Incorporation of holding companies; 2) Amendment of Articles of Incorporation and By-Laws; and 3) Processing of Certificate Authorizing Registration with the Bureau of Internal Revenue
  • Prepare and review bidding documents for projects that needed to undergo bidding process
  • Research, anticipate and protect the company against legal risks and potential violations.
  • Structure, draft, review and execute agreements, contracts, report and other legal documents
  • Provide legal advice to different departments

Qualifications:

  • Graduate of Bachelor's degree in Law
  • Must have passed the Bar Exam
  • Knowledge and application of Corporate law
  • Knowledge on energy-related laws
  • Knowledge on reportorial reports to be submitted to relevant government entities, including but not limited to the PSE, SEC, BIR, etc.
